WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless Summit Financial Advisors, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of any law or the rights of a third party
• Your User Content or any content you submit, post, or transmit through the Services
• Any financial decisions you make based on information from our Services

Termination by Us: We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Reasons for termination may include but are not limited to:

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Croatia, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

16. Dispute Resolution

Informal Resolution: Before initiating formal legal proceedings, you agree to first contact us to attempt to resolve any dispute, claim, or controversy informally. Please send a written description of the dispute to our contact address provided below.

Mediation: If the dispute cannot be resolved informally within thirty (30) days, either party may initiate mediation through a mutually agreed-upon mediator in Croatia.

Arbitration: If mediation is unsuccessful, any dispute arising out of or relating to these Terms or the Services shall be finally settled by arbitration administered by the Permanent Arbitration Court at the Croatian Chamber of Economy in accordance with its Rules of Arbitration. The arbitration shall be conducted in English or Croatian, and the place of arbitration shall be Zagreb, Croatia.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Severability and Waiver

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Summit Financial Advisors.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Summit Financial Advisors concerning the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
